Welcome to OwnSpace Solutions Inc. (“OwnSpace,” “we,” “us,” or “our”). By accessing or using our platform, website, and services (collectively, the "Services"), you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms specific to certain services or features. If you are using the Services on behalf of a business, you represent that you have authority to accept these Terms on behalf of that business.

Buying, selling, or just browsing is how you agree to be bound by these Terms. You can only use OwnSpace if you agree to these Terms. These Terms protect OwnSpace from legal risk but also provide protection for you and set out ground rules that help OwnSpace stay a safe and friendly place. 2. Jurisdiction & Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada and the United States. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada, or [Insert U.S. State], as applicable.

If you access the Services from outside these jurisdictions, you do so at your own risk and are responsible for compliance with local laws.

3. Who Can Use OwnSpace?

3.1 Minimum Age

Users must be of legal age to enter into a binding contract in both: Their country of residence; and The country where the listed property is located and where the transaction takes place.

By using the Services, users confirm that they meet these minimum age requirements. If we become aware that a user does not meet these criteria, we reserve the right to suspend or terminate their account immediately.

3.2 Use on Behalf of Another

If you use our Services on behalf of another person or entity, (a) all references to "you" throughout these Terms will include that person or entity, (b) you represent that you are authorized to accept these Terms on that person's or entity's behalf, and (c) in the event you or the person or entity violates these Terms, the person or entity agrees to be responsible to us.

3.3 Users Outside of the US and Canada

If you are using the Services from a country embargoed by the US or Canada, or are on the US Treasury Department's list of "Specially Designated Nationals," you agree that you will not engage in financial transactions or conduct any commercial activities through the Services. You cannot use OwnSpace if you or your country are prohibited from doing business with the US and/or Canada.

4. User Accounts & Responsibilities

4.1 Registration & Account Security

You must provide accurate, current, and complete information when creating an account.

You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify us at [insert contact email] if you suspect unauthorized access to your account.

4.2 Legal Compliance

Users agree to comply with all applicable real estate, financial, and privacy laws in Canada and the U.S. when using the Services. OwnSpace is not responsible for ensuring that transactions comply with local regulations.

4.3 Acceptable Use

Users may not:

  • Engage in fraudulent, misleading, or unlawful activities.
  • Interfere with or disrupt the Services.
  • Scrape, copy, or use automated methods to collect data from our platform without permission.
  • Upload or transmit malicious code, viruses, or spam.
  • Use the Services for unauthorized real estate transactions or non-compliant business activities.

We reserve the right to suspend or terminate accounts that violate these terms.

5. Services Provided

OwnSpace provides a real estate transaction platform that enables users to list, buy, and manage real estate transactions. The Services include:

  • Portal customization for property listings and transactions.
  • Offer and payment processing via integrated third-party providers.
  • Document generation and e-signature functionality.
  • Compliance tracking to assist with regulatory adherence.

OwnSpace does not act as a real estate broker, legal advisor, or financial institution. Users are responsible for their own due diligence and compliance.

6. Listing and Buying a Property

6.1 Property Listing Requirements

  • Users who list a property must provide accurate and up-to-date information regarding the property, including pricing, description, and relevant disclosures.
  • The listing user must have the legal right to list the property for sale or lease on the platform.
  • OwnSpace reserves the right to remove or modify listings that contain false, misleading, or prohibited content.

6.2 Responsibilities of Listing Users

  • The listing user must comply with all legal obligations and is responsible for ensuring that all transactions comply with applicable real estate laws in the jurisdictions where the property is located and listed.
  • Any disputes arising from a property listing are to be resolved directly between the involved parties. OwnSpace does not mediate real estate disputes, and is not liable
  • Users agree not to list properties that violate zoning laws, land use regulations, or other legal restrictions.

6.3 Offer and Acceptance

  • Buyers can purchase listed properties at the posted price or negotiate with the Seller through the platform.
  • Sellers may accept, counter, or decline offers. Once a Seller accepts an offer, both parties enter into a legally binding agreement to complete the transaction as per the terms of the listing.

6.4 Additional Terms

  • Reservation Hold: If applicable, a reservation hold is placed on the buyer’s credit card when an offer to purchase is signed. This is not a charge, but a temporary authorization. The hold will be automatically removed within up to 7 days from signing the offer to purchase. OwnSpace is not responsible for delays caused by the buyer’s bank or payment processor.

7. Intellectual Property Rights

OwnSpace and its licensors own all rights, title, and interest in the Services, including all software, content, trademarks, and intellectual property. Users are granted a limited, non-exclusive, non-transferable right to use the Services as permitted by these Terms.

You may not:

  • Modify, copy, or distribute any content without our prior written consent.
  • Reverse engineer, decompile, or attempt to extract source code from our software.

8. Disclaimers & Limitations of Liability

8.1 No Warranty

  • The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied.
  • OwnSpace does not guarantee that transactions conducted through our platform will be successful or free from errors.
  • We do not provide legal, financial, or real estate advice. Users are responsible for ensuring compliance with applicable laws.

8.2 Limitation of Liability

To the fullest extent permitted by law, OwnSpace’s liability is limited to the amount paid by the user for the Services in the last 12 months. OwnSpace shall not be liable for:

  • Any direct, indirect, incidental, or consequential damages arising from the use of the Services.
  • Loss of data, profits, or business opportunities.
  • Third-party actions, including actions by buyers, sellers, brokers, or service providers on the platform.

9. Third-Party Services & Integrations

OwnSpace integrates with third-party services such as payment processors, document signing tools, and compliance solutions. We do not control these third-party services and are not responsible for their performance, security, or availability.

For issues with third-party services, users must contact the respective provider directly.

10. Termination & Suspension

We may suspend or terminate access to the Services at our discretion, including if:

  • A user violates these Terms.
  • We are required to do so by law.
  • Service disruptions or security risks arise.
  • OwnSpace reserves the right to immediately suspend or revoke access to the Services if a user engages in fraudulent activity, non-compliance with laws, or misuse of the platform.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the new Terms. Users will be notified of significant changes where required.
